6. SERVICE DELIVERY AND RESULTS DISCLAIMER
CF24/7 (ClientFlow 24/7) is a done-for-you marketing automation and lead follow-up system. While we commit to building and delivering a fully functional automation system as described in your service agreement, we do not guarantee specific business outcomes including but not limited to the number of leads generated, bookings made, clients acquired, or revenue earned. Results depend on factors outside our control including your offer, pricing, traffic sources, sales conversations, and market conditions. Our guarantee covers system functionality — not business performance. By engaging our services, you acknowledge and accept this distinction.
7. DISCLAIMER OF WARRANTIES
THE SERVICES ARE PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SERVICES WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, IN CONNECTION WITH THE SERVICES AND YOUR USE THEREOF, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL WE OR OUR DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY DIRECT, INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT, LOST REVENUE, LOSS OF DATA, OR OTHER DAMAGES ARISING FROM YOUR USE OF THE SERVICES.
OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING.
9. DISPUTE RESOLUTION
Informal Negotiations. To expedite resolution and control the cost of any dispute, controversy, or claim related to these Legal Terms, the parties agree to first attempt to negotiate any dispute informally for at least thirty (30) days before initiating arbitration. Such informal negotiations commence upon written notice from one party to the other.
Binding Arbitration. If the parties are unable to resolve a dispute through informal negotiations, the dispute shall be finally and exclusively resolved by binding arbitration. The arbitration shall be conducted in Manila, Philippines, in the English language, with one (1) arbitrator. Each party shall bear its own costs and fees.
Governing Law. These Legal Terms shall be governed by and defined following the laws of the Philippines. Neil Amponin / CF24/7 and yourself irrevocably consent that the courts of the Philippines shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these Legal Terms.
